Jinchuan Group Ltd. did not proceed with its Investment Agreement with Tiomin Resources Inc. to purchase 70% of Tiomin Kenya and the Kwale project because Tiomin Resources Inc. failed to perform its obligations under the Investment Agreement prior to the agreed upon final closing date of October 29, 2009. The published statement by the chief executive officer of Tiomin Resources Inc. to the contrary is erroneous and defamatory. Jinchuan reserves its right to take necessary legal actions to defend the interest of Jinchuan.
